AVETIUM PAYROLL – TERMS OF USE

Effective Date: 1st APRIL, 2025

These Terms of Use ("Terms") govern your access to and use of Avetium Payroll (the "Platform") provided by Avetium ("Avetium," "we," "us," or "our"). You must be of legal age to enter into a binding agreement to accept these Terms. If you do not agree to these Terms, you must not use the Platform.

By accessing or using the Platform, you agree to be bound by these Terms and any policies referenced herein, including the Privacy Policy. We reserve the right, at our sole discretion, to modify or update these Terms at any time. Notice of any amendments will be provided by publishing the revised version through appropriate communication channels or directly on the Platform. Your continued use of the Platform after the effective date of any updates constitutes your acceptance of the revised Terms.

How it Works

Avetium Payroll System provides a cloud-based solution that enables registered businesses to manage employee payroll, attendance, benefits, tax calculations, and reporting. It is designed to manage daily payroll and human resource operations for businesses of all sizes. Avetium Payroll System is available for use by Micro, Small, and Medium Enterprises (MSMEs) as well as Small and Medium Enterprises (SMEs). The System allows for automated salary processing, tax and compliance calculations, payslip generation, and provides oversight and view-only access to super administrators.

Avetium may enhance or modify the System’s features from time to time to improve performance, address regulatory changes, or respond to user feedback.

Account Sign-Up

To use the Avetium Payroll System, you must register an account by providing accurate, current, and complete information and in the event that there is a change to this information, You must notify Avetium of such change within a reasonable amount of time and promptly update the information provided during sign up to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, outdated, or incomplete, or if Avetium has reasonable grounds to suspect that such information is untrue, inaccurate, outdated, or incomplete, We may terminate your user account and refuse current or future use of any or all of the Services If you represent an organization and wish to use the Service for a corporation, you represent to us that you have authority to bind that business or entity to these terms.

You are solely responsible for maintaining the security of your login information/credentials. Unauthorized access or misuse of another user’s account is strictly prohibited. You must notify us immediately of any suspected breach of security or unauthorized access. We reserve the right to suspend or terminate accounts that pose a security risk.

Usage Limit and Restriction

Avetium may set usage limits based on the number of employees registered on the Platform. If any additional fees to remove such restrictions are not paid, these limits will remain in effect. You are responsible for ensuring that your usage stays within the limits prescribed by Avetium to maintain uninterrupted access to the service. You acknowledge and agree that Avetium may restrict or suspend certain activities if you exceed the usage limits applicable to those activities.

In addition to all other terms and conditions of this Agreement, you are prohibited from:

  • i. transferring, reselling, or sharing the payroll system with third parties, sharing user licenses between multiple users, or attempting unauthorized access to the system or networks.
  • ii. reverse engineering the software, introducing harmful code or viruses, or interfering with system performance, security, or data integrity.
  • iii. processing unauthorized data, creating false identities, transmitting misleading information, or violating applicable laws through the system.
  • iv. using the system for competitive analysis, benchmarking purposes, or creating competing services based on our Payroll solution.
  • v. overloading system resources, removing proprietary notices or branding, or using the system in ways that damage our infrastructure or other users' experience.

User Obligations

You agree to use the System exclusively for legitimate commercial activities and in compliance with all applicable laws and regulations. Misuse or abuse of the System is ground for suspension. You may not attempt to duplicate, reverse-engineer, decompile, or sell the System in whole or in part. It is your responsibility to ensure that use of the System complies with anti-fraud, tax, and consumer protection obligations. You also agree to keep your contact and business information accurate and up to date.

Accurate Information & Confidentiality

Avetium shall not be held liable for failure to network deliver errors on the payroll system, statutory remittance, where such failure is due to incorrect, incomplete, or misrepresented data provided by user. By using the Platform, you agree to maintain confidentiality, keep your account Information secure and only accessible to authorized people who must sign off each time they access it. Realtime access is only available to super admin of the payroll system. By using the platform, you agree to Comply with applicable laws, adhere to all regulations, including labor laws, tax laws, and data protection laws in Nigeria. By using the Platform, you agree to do so responsibly and refrain from using the Platform for any unlawful or unauthorized purposes, including but not limited to unauthorized access, data breaches, or fraudulent activities.

Personal Information and Privacy

Your personal information is governed by our Privacy Policy, which you accept by using our Payroll system. You are responsible for maintaining the confidentiality of your login credentials and all activities in your account. You must immediately notify us of any unauthorized account access. We are not liable for any losses resulting from unauthorized use of your account.

Fees And Payments

Service Activation: Access to the Avetium Payroll System is conditional upon payment of the applicable subscription fee and submission of all required onboarding documentation (e.g., employee data, statutory codes, payroll structure). Services shall only commence once these prerequisites are fulfilled, and full payments are made.

Non-Refundable Fees: All payments made for Avetium Payroll System are non-refundable once the service has been activated or used, except in the case of proven non-delivery of services caused solely by Avetium.

Bank and Transaction Disputes: In the case of a failed transaction or duplicate debit, users are advised to immediately contact their financial institution for resolution. Avetium will not be responsible for refunds resulting from third-party payment gateway failures or bank-related errors but may assist in providing transaction documentation to facilitate such resolution.

Price Review: We reserve the right to review price of the Payroll Solution with 30 days’ notice of increment in price via the authorized email address.

Third Party Applications

Our Payroll system may integrate with third-party applications that have their own terms of service and privacy policies. You are responsible for reviewing and accepting these third-party terms before use. We are not liable for any third-party applications or their performance. We may suspend, restrict, or remove access to any third-party application at any time without notice and without liability for any resulting losses including profits, revenue, data, or goodwill.

Disclaimer of Warranties

The Payroll system is provided "as is" without any warranties, express or implied. Your use of the system is at your own risk. We disclaim all warranties including merchantability, fitness for purpose, non-infringement, security, uninterrupted access, error-free operation, and accuracy of data or content. No advice or information from us creates any warranty beyond what is expressly stated in this agreement.

Indemnification

You agree to defend, indemnify, and hold us harmless, including our directors, employees, and agents, from any claims, damages, costs, or attorney's fees arising from your breach of this agreement, your use of the Payroll system, any unlawful or objectionable use of our services, or any negligent or willful misconduct on your part.

Force Majeure

If either party cannot perform their obligations due to events beyond reasonable control including natural disasters, terrorism, power outages, strikes, government actions, or communication failures, the affected party must immediately notify the other party and attempt to resume performance. All obligations are suspended upon notice. If non-performance exceeds seven days, the unaffected party may terminate this agreement with written notice.

Errors and Omissions

Our Payroll system may contain technical inaccuracies, typographical errors, or pricing mistakes. We are not liable for such errors and have no obligation to honor affected transactions or information. We reserve the right to make changes, corrections, or cancellations to any information, products, or services at any time without notice, including after transaction confirmation.

Intellectual Property

All intellectual property rights in the Platform, including but not limited to software, design, content, and trademarks, are owned by Avetium Technologies Limited or its licensors. You are granted a non-exclusive, non-transferable, revocable license to use the Platform solely for your internal business purposes. You may not reproduce, distribute, modify, or create derivative works of the Platform without prior written consent from Avetium.

Communications

Our Payroll system includes service announcements, administrative messages, and newsletters as part of the service. You can opt-out of newsletters but not service announcements or administrative messages, which are essential for system operation.

Limitation of Liability

We are not liable for any consequential, incidental, indirect, special, punitive, or other damages including business profits, interruption, computer failure, or information loss arising from your use or inability to use our Payroll system. Our total liability to you cannot exceed the fees you paid in the twelve months prior to the incident.

Governing Law and Jurisdiction

This agreement is governed by Nigerian law and any disputes will be subject to the exclusive jurisdiction of Nigerian courts. Both parties agree to this governing law and jurisdiction for any legal matters arising from this agreement.
